The purpose of this document is to establish the principles that should guide the ethical conduct of all Viakem collaborators and senior management, as well as its vendors or third parties with respect to the realization, deals and commercial or work relationships to guarantee the sustainable development of our operations, facilitating compliance with applicable national and internationally recognized legislation such as the Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, the Universal Declaration of Human Rights, the Administrative Responsibilities and other applicable laws and codes in force.

Code of Ethics and Conduct for Vendors
This Code for Vendors is focused on reinforcing the provisions established in current internal and external regulations, with the purpose of establishing the ethical behaviors that are expected of our vendors, contractors, consultants or intermediaries (the Vendors) of goods or services of Viakem directly or indirectly and establish the guidelines that should govern the commercial relationship, the foregoing in accordance with the provisions of the Mexican regulations on Anti-Corruption (General Law of the National Anti-Corruption System and the General Law of Administrative Responsibilities) and international (FCPA and UK Bribery Act) as well as the Viakem Code of Ethics and Conduct.
Viakem distinguishes itself by adhering to the best business practices, therefore it expects the commitment of its Vendors so that they share and adopt the spirit of our ethical commitment and integrity, as well as adhere to Viakem’s Code of Ethics and Conduct, while conduct business with or on behalf of Viakem, therefore, commercial operations with Vendors must be established using selection criteria regarding quality, competence, impartiality, experience and economic aspects

Conflict of Interest Policy
In alignment with Viakem’s Code of Ethics and Conduct, our Conflict-of-Interest Policy outlines the procedures to identify, prevent and manage situations where conflicts of interest may occur.
Decision-making must not be influenced by any personal or third-party interests and every member of Viakem (collaborators, business partners, suppliers and third parties) must undertake to comply with our conflict of interest, ethics, and anti-corruption standards to avoid financial, administrative, and reputational damage.

Viakem Ethics Support Line
Our employees are encouraged to report suspected violations of the Viakem Code and other legal or ethical violations through a confidential and anonymous system managed by Ethics Global, a leading provider of outsourced governance, risk management and compliance services. Employees can contact Global Compliance 24 hours a day, 7 days per week by dialing the hotline, accessing their website or mobile app. Global Compliance provides multilingual service and has trained staff to handle ethics calls.
It is Viakem’s responsibility to investigate any reported violation of the Code, other Viakem policies, or applicable laws, and to take appropriate action based on the results of the investigation. We strongly encourage every employee to report violations with no fear of retaliation from co-workers, supervisors, or others.
